I'm an experienced tax advisor that has worked both in practice and in the alternative investment management industry. I offer pragmatic real world solutions to complex tax problems.
I started my career as an international corporate tax advisor before moving into a Mergers & Acquisitions (M&A) team. I have been a deals tax partner at a number of the large accounting firms focusing on Venture Capital and Private Equity clients in particular. I worked in the Private Equity industry, first as the Director of Tax and Structing at Terra Firma Capital Partners (Guy Hand’s fund) and then as Chief Operating Officer for Lion Capital. I give tax advice on fund structuring and all aspects of deals, including tax due diligence. More recently I have focused on advising entrepreneurial high net worth individuals and family offices. Having worked in the industry, I believe the key to giving good advice is that it must be actionable in the real world!
In the fund structuring space I am happy to deal with the UK tax issues around setting up and running investment fund structures, both on-shore and off-shore. I have particular experience in private equity and litigation funds. Having spent time in-house in the Private Equity industry I am able to help with real world issues around how to operate the structures as well as advising on the various tax technical points which come up. I am also happy to look at the wider tax issues for UK-based fund managers and advisors including carried interest issues.
In the deal structuring space I am happy to advise financial and trade buyers, management teams and sellers on all aspects of tax due diligence and deal structuring. I have dealt with many UK and international acquisitions, disposals and restructurings, including issues such as management equity and deal fee recovery.
